USAPD shall protect, defend, hold harmless and indemnify CLIENT and its property management company, and their parents, directors, officers, and employees from and against all claims, actions, liabilities, damages, losses, costs and expenses (including reasonable attorney’s fees) arising out of or as a direct result of the performance of the services being provided by USAPD pursuant to this Agreement, to the extent, but only to the extent that any such claims, actions, liabilities, damages, losses, costs or expenses (1) are caused by the total negligent failure of USAPD to perform the security officer services required pursuant to this Agreement, or by other negligent actions or omissions of those same services by USAPD , or through the willful misconduct or unlawful activity of USAPD; and (2) are not caused in any way through the gross negligence, willful misconduct or unlawful activity of CLIENT or otherwise resulting from USAPD’s compliance with specific direction from CLIENT.
1- USAPD shall provide only the Services specifically contracted for in this Agreement, and USAPD will not perform any duties not contracted for under this Agreement. USAPD does not have security assessment expertise, and USAPD has not provided a security assessment. USAPD Services are only for the specific area defined in this Agreement, and does not include adjacent properties, sidewalks, streets, wooded areas, or other areas not specifically indicated in this Agreement.
